1. Acceptance of Terms
By accessing, registering for, or using the Progress platform, website, mobile applications, APIs, or related services (collectively, the “Services”), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree to these terms, you may not access or use the Services.
2. Description of Services
Progress provides a cloud-based business management platform that may include, but is not limited to:

Job and project management

Scheduling and dispatching
-
Customer relationship management (CRM)
-
Asset and inventory tracking
-
Mobile workforce management
-
Reporting and analytics
-
Customer communications, including email and SMS notifications

Third-party integrations
Progress reserves the right to modify, enhance, or discontinue any portion of the Services at any time.
3. Account Registration
To access certain Services, you may be required to create an account. You agree to:

Provide accurate and complete information.

Maintain the security of your account credentials.

Promptly update account information when changes occur.
-
Accept responsibility for all activities occurring under your account.
Progress is not responsible for unauthorized access resulting from your failure to protect account credentials.
4. Acceptable Use
You agree not to:

Use the Services for unlawful purposes.

Attempt unauthorized access to systems or data.
-
Transmit malware, viruses, or harmful code.
-
Interfere with the operation or security of the Services.

Use the platform to send unsolicited communications, spam, or prohibited messages.
Progress reserves the right to suspend or terminate accounts engaged in prohibited activities.
5. Customer Data
You retain ownership of all data submitted to the Services (“Customer Data”). By using the Services, you grant Progress a limited license to host, process, transmit, backup, and display Customer Data solely for the purpose of providing and improving the Services.
You are solely responsible for:

The accuracy of Customer Data.

Obtaining any necessary customer consents.

Compliance with applicable privacy and data protection laws.
6. SMS and Communication Services
If the Services provide email, SMS, voice, or messaging functionality:

You represent that you have obtained all required consents from message recipients.

You agree to comply with applicable telecommunications regulations, including TCPA, A2P messaging requirements, carrier policies, and anti-spam regulations.

Progress is not responsible for messages blocked, delayed, or rejected by telecommunications providers.
Progress SMS Program — Collection and Handling of Mobile Numbers
Progress collects mobile phone numbers directly from authorized users within the Progress mobile application. During account setup, a user provides their mobile number and actively opts in to receive text messages by selecting a consent checkbox that is unchecked by default. Agreeing to receive text messages is not pre-selected and is not a condition of creating an account or using the Services. Progress does not purchase, rent, or otherwise obtain phone numbers from outside sources.
Progress collects employee phone numbers solely for business transaction purposes — namely, notifying employees about their assigned jobs. SMS messages sent by Progress are transactional in nature and are used only for related business communications, such as notifications about assigned jobs, purchase orders, bid requests, work order updates, scheduling changes, and related project activity tied to the user’s account. Progress does not send promotional or marketing messages through this service.
With respect to the Progress SMS program:

Message frequency varies based on job and project activity.

Message and data rates may apply.

Users may reply HELP for assistance at any time.

Users may reply STOP to opt out at any time. After replying STOP, a user will receive one confirmation message and will not receive further texts unless they opt in again.

Mobile phone numbers and SMS consent information are not shared, sold, rented, or disclosed to third parties for marketing purposes.

Carriers are not liable for delayed or undelivered messages.
7. Privacy and Data Collection
Progress may collect and process information necessary to operate and improve the Services, including:

User account information

Contact information
-
Device and browser information
-
IP addresses
-
Usage and activity data
-
Support requests and communications
-
Cookies and analytics information
Such information may be used to:

Provide and support the Services

Improve platform functionality
-
Respond to customer inquiries

Communicate product updates and service notifications
-
Ensure security and compliance
-
Meet legal and regulatory obligations
Progress does not sell customer personal information to third parties. Information may be shared with trusted service providers that assist in operating the Services under appropriate confidentiality obligations.
8. Security
Progress implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data. However, no method of transmission or storage is completely secure. Progress cannot guarantee absolute security and disclaims liability for unauthorized access beyond its reasonable control.
9. Third-Party Services
The Services may integrate with third-party platforms including but not limited to:

Google Workspace
-
Twilio
-
QuickBooks
-
Stripe
-
Snowflake
-
Other customer-authorized integrations
Use of third-party services is governed by the respective provider’s terms and privacy policies.
10. Intellectual Property
All software, documentation, trademarks, logos, designs, and intellectual property associated with Progress remain the exclusive property of Progress Management and its licensors. No ownership rights are transferred through use of the Services.
11. Service Availability
While Progress strives to maintain high availability, the Services are provided on an “as available” basis. Progress does not guarantee uninterrupted or error-free operation and may perform maintenance, updates, or modifications at its discretion.
12. Limitation of Liability
To the maximum extent permitted by law:
Progress shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, or loss of data.
Progress’s total liability arising from the Services shall not exceed the fees paid by Customer during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Progress, its affiliates, employees, officers, and partners from claims, damages, liabilities, and expenses arising from:

Your use of the Services.

Violation of these Terms.
-
Violation of applicable laws or regulations.
-
Infringement of third-party rights.
14. Data Retention and Deletion
Progress may retain Customer Data as reasonably necessary to:

Provide Services
-
Comply with legal obligations
-
Resolve disputes
-
Enforce agreements
Upon termination of Services, Customer Data may be deleted according to Progress’s data retention policies unless otherwise required by law.
15. Changes to Terms
Progress may update these Terms from time to time. Material changes will be posted through the Services or communicated electronically. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Jackson County, Missouri.
